Terms and Conditions

§ 1 Scope
These Terms and Conditions apply to all contracts between RM Hospitality, owner Maurice Räder, Heiliggrabstraße 55a, 96052 Bamberg (hereinafter "RM Hospitality") and its clients regarding co-hosting services (RM Hosting), revenue management (RM Revenue), consulting and setup services (RM Advisory), and the use of the CENTCOM software. Deviating terms of the client are not recognized unless RM Hospitality expressly agrees in writing.
§ 2 Subject of the contract
The subject of the contract is the services specifically described in the respective offer or service description. RM Hospitality provides services with the care of a prudent businessperson; a specific economic outcome (e.g. a particular occupancy or revenue level) is – unless expressly agreed – not owed.
§ 3 Remuneration (co-hosting)
Remuneration for co-hosting services is a percentage of net revenue according to the chosen package:
- Starter: 15% of net revenue
- Growth: 20% of net revenue
- Full Service: 25% of net revenue
The commission agreed in the individual contract is decisive. As a small business within the meaning of § 19 UStG, no VAT is charged; all prices are final prices.
§ 4 Remuneration (CENTCOM software)
Use of CENTCOM is provided as a monthly subscription priced by unit count (Starter €169 for 1–3 units, Professional €349 for 4–15, Growth €549 for 16–30, Enterprise from 30 units by agreement — every plan includes all three areas: communication, housekeeping and invoicing). Booking individual areas or a pair is possible on request and by separate agreement. Self-service setup is free of charge; optional managed onboarding may be booked for a one-time fee of €499–1,499 depending on integration scope. As a small business within the meaning of § 19 UStG, no VAT is charged; all prices are final prices.
§ 5 Term & termination
Term and notice periods are set out in the individual contract. Unless otherwise agreed, software subscriptions automatically renew for the respective booked period unless terminated in time. The right to extraordinary termination for good cause remains unaffected.
§ 6 Client's duties to cooperate
The client provides all information, access, and documents required for service provision in good time and warrants that they are the owner of, or authorized to dispose of, the relevant properties.
§ 7 Liability
RM Hospitality is liable without limitation for intent and gross negligence as well as for injury to life, body, and health. For simple negligence, RM Hospitality is liable only for breach of essential contractual obligations (cardinal obligations) and limited to the foreseeable damage typical for the contract.
§ 8 Final provisions
The law of the Federal Republic of Germany applies. The place of jurisdiction is – to the extent legally permissible – the registered office of RM Hospitality. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
